This provision shall be inapplicable in those jurisdictions where it is prohibited by law and, in such cases, the right to access the website and services will be revoked.

By using the website and services, you represent and warrant that you have full power, authority and capacity to enter into this agreement and to perform all obligations hereunder. You further represent and warrant that you are not subject to any legal incapacity or contractual restriction that would prevent you from entering into this agreement.

2. NOTIFICATIONS AND NEWSLETTER

By providing 101 Pet with your e-mail address, you agree that we may use your e-mail address to send you important notifications and communications about our services, news and special content. If you do not wish to receive these e-mails, you may opt-out of receiving them by sending us your request through our contact information or by using the “unsubscribe” option in the e-mails themselves. This option may prevent you from receiving emails about our services, important news and special content.

3. SHELTERS

3.1. Registration and User Account

To access the functionalities of 101 Pet, Shelters must register on the platform and create an account. Registration is mandatory to use the platform’s services.

When registering, Shelters must provide accurate, complete and up-to-date information about their organisation, including, among other things, the name of the Shelter, email address, contact number and any other data required by 101 Pet to validate the authenticity of the user. Whoever registers the account on behalf of the Shelter declares and guarantees that they have the proper authorisation to act on behalf of the organisation and assume the obligations derived from the use of the platform.

Shelters are responsible for the security and confidentiality of their access credentials. They may not share them with third parties or allow unauthorised use of the account. In the event of loss, theft or suspicion of unauthorised access, the Shelter must immediately notify 101 Pet so that the corresponding security measures can be taken. All actions carried out through the account will be the sole responsibility of the Shelter, including any activity within the platform. The Shelter may close their account at any time by sending a request to 101 Pet using the contact details provided on the platform. Closing the account implies the removal of access to the platform, without prejudice to any obligations or responsibilities acquired prior to cancellation.

101 Pet reserves the right to modify the requirements and conditions of registration at any time, as well as to suspend or cancel accounts in case of non-compliance with these terms, without this giving rise to any right to indemnification or compensation.

3.2. Pet Listings

Shelters registered with 101 Pet can publish listings of pets available for adoption through the website and receive requests for adoption from interested Adopters. By posting a listing, the Shelter agrees that all information provided must be truthful, up-to-date and accurately reflect the characteristics and conditions of the pet up for adoption.

The Shelters are responsible for ensuring that the listings meet the standards of quality and transparency required by 101 Pet. Each publication must include detailed information about the pet, including its name, age, breed, health status, vaccination history and any other information relevant to the adoption process.

101 Pet does not intervene in the verification of the information published by the Shelters or in the adoption process, limiting itself to providing the platform as a means to facilitate the connection between Shelters and Adopters. Consequently, the Shelters assume all responsibility for the accuracy of the published content and for the process of selecting and delivering the pet.

It is strictly forbidden to publish content in the listings that includes, among others:

• False, misleading or inaccurate information about the pet.
• Altered photographs or photographs that do not correspond to the pet up for adoption.
• Content that promotes the sale of animals, as 101 Pet is an adoption-only platform.
• Listings that include personal contact information outside of the channels provided by 101 Pet.
• Posts with offensive, discriminatory or inappropriate language.
• Content that infringes intellectual property rights or violates the privacy of third parties.
• Information that involves adoption for illegal or commercial purposes or animal exploitation.

101 Pet reserves the right to review, modify or delete any publication that violates these conditions or that, in its opinion, does not comply with the standards of the platform. In the eventof repeated infringements, 101 Pet may suspend or cancel the Shelter’s account without prior notice or the right to compensation.

The Shelters understand and accept that 101 Pet does not guarantee the quantity or quality of adoption requests they may receive through the platform and that it has no responsibility whatsoever for the final decision of the Adopters or the fate of the pet after adoption.

4. ADOPTERS

4.1. Registration and User Account

To access the functionalities of 101 Pet, Adopters must register on the platform and create a user account. Registration is mandatory to use the platform’s services, including searching for pets for adoption and sending adoption requests to registered Shelters.

Adopters can register by completing the registration form available on the website or by using their access credentials through third-party accounts, such as Google or Facebook. If they choose to register through Google or Facebook, 101 Pet may receive certain basic data from the user’s account, such as their name, email address and profile photo, in accordance with the privacy settings established on those platforms.

When registering, the Adopter undertakes to provide truthful, up-to-date and complete information, ensuring that the data entered is accurate and reflects their real identity. 101 Pet is not responsible for problems arising from the use of incorrect, outdated or inaccurate information provided by the user.

Adopters are responsible for the security and confidentiality of their access credentials. They may not share them with third parties or allow unauthorised use of their account. In case of loss, theft or suspicion of unauthorised access, the user must immediately notify 101 Pet so that the necessary security measures can be taken. All activities carried out from the user’s account will be their sole responsibility.

The adopter may close their account at any time by sending a request to 101 Pet using the contact details indicated on the platform. Closing the account will result in the loss of access to the platform’s functionalities, without prejudice to any obligations or commitments acquired prior to the cancellation.

101 Pet reserves the right to modify the requirements and conditions of registration at any time, as well as to suspend or cancel accounts in case of non-compliance with these terms, without this giving rise to any right to indemnification or compensation.

4.2. Adoption Requests

Adopters registered on 101 Pet can send adoption requests to Shelters through the platform in relation to the pets published in the listings. By sending an adoption request, the Adopter acknowledges that their request will be reviewed and processed exclusively by the Shelter responsible for the publication and that 101 Pet does not intervene in the selection of adopters or in the management of the adoption process.

Adoption requests must be completed with truthful, accurate and up-to-date information. The Adopting Party is responsible for providing the information required by the Shelter to assess their suitability for adoption. Submitting a request does not guarantee approval or assignment of the pet for adoption, as the final decision rests exclusively with the Shelter, which may accept or reject any request at its sole discretion and without the need to justify its decision.

It is the responsibility of the Shelters to manage and respond to adoption requests within a reasonable time. 101 Pet does not guarantee that the Shelters will respond to all requests, nor is it responsible for the lack of response, delay in communication or refusal on the part of the Shelter.

Adopters understand and accept that 101 Pet does not participate in the verification of the information provided in the adoption requests or in the evaluation of the Adopter by the Shelter. Any additional communication, agreement or condition related to the adoption process will be managed directly between the Adopter and the Shelter outside the scope of 101 Pet.

It is strictly forbidden to use the adoption request functionality for fraudulent or deceptive purposes or for any purpose other than the legitimate process of pet adoption. Any misconduct may result in the suspension or cancellation of the adopter’s account without prior notice.

101 Pet reserves the right to monitor activity on the platform and to take any measures it deems necessary to guarantee the proper use of the adoption request system, without this implying any responsibility in the management or outcome of the adoption processes carried out between Shelters and Adopters.

5. COMMUNITY FORUM

101 Pet provides users with a community forum within the website, where they can actively participate by creating publications and interacting through comments on other users’ posts. By using the forum, users agree to abide by these terms and conditions, as well as any additional rules established by 101 Pet for the proper functioning of the community space.

The purpose of the community forum is to encourage the exchange of knowledge, experiences and opinions on pet adoption, animal welfare and other related topics. Users are responsible for the content they publish and the information they share in the forum, ensuring that their contributions are truthful, respectful and in accordance with the principles of coexistence established by 101 Pet.

It is strictly forbidden to publish content that includes, among others:

• Language that is offensive, discriminatory, defamatory or that incites hatred, violence or any other illegal behaviour.
• Information that is false, misleading or that may mislead other users.
• Content that infringes the rights of third parties, including copyright, trademarks, privacy or any other intellectual property right.
• Posts that promote the sale of animals, as 101 Pet is an adoption-only platform.
• Personal or third-party contact information outside of the channels provided on the platform.
• Advertising messages, spam, or any other content for unauthorised commercial purposes.
• Content that exposes, promotes, or facilitates animal abuse.

101 Pet does not moderate or pre-review forum posts, but reserves the right to monitor activity on the platform and to remove, edit, or restrict any content that it deems inappropriate or that violates these terms. Repeated posting of prohibited content may result in the suspension or termination of the user’s account without notice.

Users understand and accept that the opinions expressed in the forum belong exclusively to their authors and do not reflect the position of 101 Pet. The platform assumes no responsibility for the accuracy, integrity or reliability of the information posted by users in the forum.

By participating in the community forum, users grant 101 Pet a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and distribute their content within the website for the purpose of keeping the forum accessible and functional for the community.

101 Pet reserves the right to modify, suspend or eliminate the community forum at any time and without prior notice, without this giving rise to any right to compensation for users.

6. LIMITATION OF LIABILITY

101 Pet is an online platform that facilitates the connection between Shelters and Adopters for the adoption of pets. However, 101 Pet acts solely as a digital intermediary and does not intervene in the management, verification, validation or execution of the adoption processes carried out between users. Consequently, 101 Pet assumes no responsibility for the actions, omissions or decisions made by Shelters, Adopters or third parties in the use of the platform.

101 Pet does not guarantee the accuracy, veracity or integrity of the information published by the Shelters in the pet listings or the verification of the data provided by the Adopters in the adoption requests. Any transaction, agreement or interaction between Shelters and Adopters is carried out under their sole responsibility, without 101 Pet having any interference in the selection of adopters, delivery conditions, health status of the pets or any other circumstance related to the adoption.

101 Pet is not responsible for the availability, reliability or security of communications between users within the platform. The platform does not monitor, nor can it guarantee, that all adoption requests will receive a response, that the Adopters are suitable for adoption or that the Shelters comply with the commitments made in the process. Likewise, 101 Pet does not offer guarantees regarding the suitability, treatment or fate of the pets once the adoption process is complete.

With regard to the community forum, 101 Pet does not exercise prior editorial control over the content published by users and is not responsible for opinions, comments or information shared in this space. Each user is fully responsible for their publications and any consequences arising from their use of the forum. 101 Pet reserves the right to moderate, delete or restrict content it deems inappropriate, without assuming responsibility for its veracity or impact.

The platform is provided “as is” and “as available”, with no express or implicit guarantees of uninterrupted, error-free or completely secure operation. 101 Pet does not guarantee that the website will be free from interruptions, technical faults, security vulnerabilities or data loss, and will not be liable for any damage, direct or indirect, arising from the impossibility of access, malfunction, loss of information or any other technical incident related to the use of the platform. 101 Pet is not liable for damages, losses or harm of any kind, including, but not limited to, direct, indirect, incidental, punitive or consequential damages arising from the use of the platform, the inability to use it, interaction between users or any other circumstance related to the service. Under no circumstances will 101 Pet be liable for claims, demands or disputes arising between Shelters and Adopters, nor will it have the obligation to mediate, resolve conflicts or provide compensation in relation to any disagreement, breach or inconvenience arising from the use of the platform.

The user acknowledges and accepts that the use of 101 Pet is at their own risk and that it is their responsibility to evaluate the suitability of the information, users and adoption conditions before proceeding with any request or interaction on the platform.

7. COPYRIGHT

All content on 101 Pet website, including, without limitation, names, logos, trademarks, images, text, graphics, videos, photographs, illustrations, software and other items are protected by copyrights, trademarks and/or other intellectual property rights owned and controlled by 101 Pet or by third parties who have licensed or provided their material to the website. You acknowledge and agree that all materials on 101 Pet are made available for limited, non-commercial, personal use only. Except as specifically provided herein. No material may be copied, reproduced, republished, sold, downloaded, posted, transmitted, or distributed in any way, or otherwise used for any purpose, by any person or entity, without 101 Pet prior express written permission. You may not add, delete, distort, or otherwise modify the material. Any unauthorised attempt to modify any material, to defeat or circumvent any security features, or to utilise 101 Pet or any part of the material for any purpose other than its intended purposes is strictly prohibited.

8. COPYRIGHT INFRINGEMENT

101 Pet will respond to all inquiries, complaints and claims related to the alleged infringement due to non compliance or violation of the provisions contained in Hong Kong and international copyright laws and regulations. 101 Pet respects the intellectual property of others and expects users to do the same. If you believe, in good faith, that any material provided on the website infringes your copyright or other intellectual property rights, please submit your request via our contact information, with the following information:

11. DISCLAIMER OF WARRANTIES

Subject as aforesaid, to the maximum extent permitted by law, 101 Pet excludes liability for any loss or damage of any kind howsoever arising, including without limitation any direct, indirect or consequential loss whether or not such arises out of any problem you notify to 101 Pet and 101 Pet shall have no liability to pay any money by way of compensation, including without limitation all liability in relation to:

• Any incorrect or inaccurate information on the website.
• The infringement by any person of any Intellectual Property Rights of any third party caused by their use of the website or service purchased through the website.
• Any loss or damage resulting from your use or the inability to use the website or resulting from unauthorised access to, or alteration of your transmissions or data in circumstances which are beyond our control.

You agree to defend and indemnify 101 Pet from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:

• Your violation of any law or the rights of a third party.
• Your use of the website and services.

14. CHANGES AND TERMINATION

We may modify the website and these terms at any time, at our sole discretion and without notice. You are responsible for keeping yourself informed of these terms. 16. FORCE MAJEURE

101 Pet shall not be liable for any failure or non-performance of services due to causes beyond its reasonable control, including but not limited to acts of civil authorities, acts of military authorities, riots, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances and which may prevent the performance of our services.

17. DISPUTE RESOLUTION

In the event of any dispute, claim or controversy related to the interpretation, execution or application of these terms and conditions, or of the services provided by 101 Pet, both parties agree to attempt to resolve the dispute amicably and in good faith through a mediation process. The mediation will be facilitated by a neutral mediator selected by mutual agreement of the parties. The costs associated with the mediation process will be shared equally by both parties, unless otherwise agreed. The mediation will be conducted in a mutually acceptable language and in a location agreed by the parties, preferably virtually to ensure accessibility.

If, after a reasonable period of time, mediation does not lead to a mutually satisfactory solution, any outstanding dispute will be resolved by binding arbitration. The seat of the arbitration shall be in Hong Kong. The arbitration shall be conducted in English, unless otherwise agreed by both parties, and the arbitral award shall be final and binding on both parties. The parties expressly waive any right of appeal or recourse, except to the extent permitted by applicable law.

The parties also agree that each of them shall bear its own legal costs in relation to the arbitration, unless the arbitrator determines otherwise in his or her award. 101 Pet and the customer recognise that arbitration will be the only recourse for resolving disputes that are not resolved by mediation, and waive the right to bring any claim before the courts, except to the extent necessary to enforce the arbitration award or to seek injunctive relief before or during the arbitration proceedings.

By accepting these conditions, both parties confirm their commitment to resolving any dispute efficiently, confidentially and fairly in accordance with the principles established in this clause.

18. APPLICABLE LAW AND JURISDICTION

These terms and conditions shall be governed by and interpreted in accordance with the laws of Hong Kong. Any dispute related to these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Hong Kong. This applies unless binding arbitration is agreed to in the relevant section.

19. FINAL PROVISIONS
